1. Acceptance of the Terms
These Terms & Conditions (the “Terms”) govern access to and use of the Instachat platform (“Instachat”, “we”, “our”), operated by Instachat EAS, based in Ciudad del Este, Paraguay. By registering, accessing or using our services — through our Android mobile app, our web app (app.insta-chat.com) or our website (insta-chat.com) — you agree to be bound by these Terms. If you do not agree with them, you must not use the service.
2. Description of the Service
Instachat is a business communication platform that lets companies serve, respond to and sell to their customers through WhatsApp and other channels, with artificial intelligence assistance. The service includes, among other features, automated replies, centralized conversation management, integration with the WhatsApp Business API and analytics tools.
We reserve the right to modify, expand or discontinue features of the service at any time, seeking to give reasonable advance notice of significant changes.
3. Registration and Account
To use the service you must create an account by providing truthful, complete and up-to-date information. You are responsible for:
- Keeping your access credentials confidential.
- All activity that occurs under your account.
- Notifying us immediately of any unauthorized use.
To use the service you must be of legal age and have the legal capacity to enter into contracts. Business accounts must be managed by a person authorized to represent the company.
4. Plans, Subscriptions and Payments
The service is offered through subscription plans. By purchasing a plan, you accept the following:
- Payments are processed securely through Stripe. We do not store your full card details.
- Subscriptions renew automatically at the end of each period unless you cancel in advance.
- Prices may be updated; any change will be notified before it takes effect.
- Unless otherwise required by law, amounts paid are non-refundable for periods already started.
Failure to pay may result in suspension or cancellation of access to the service.
5. Acceptable Use
You agree to use Instachat in a lawful and responsible manner. The following is expressly prohibited:
- Sending spam, unsolicited bulk messages or misleading content.
- Transmitting illegal, defamatory, fraudulent or offensive content, or content that infringes third-party rights.
- Breaching the platform's security, reverse-engineering it or attempting unauthorized access.
- Using the service for purposes other than those permitted or in violation of applicable regulations.
- Impersonating individuals or companies.
Breaching these rules may result in the immediate suspension or cancellation of your account, with no right to a refund.
6. Compliance with WhatsApp and Third Parties
The use of features tied to the WhatsApp Business API is subject to the policies and terms of Meta Platforms, Inc. You are responsible for complying with those policies, including those concerning recipient consent and the type of messages sent. Failure to comply with Meta's policies may result in that provider restricting your number or account, with no liability on the part of Instachat.
The service relies on external providers (such as Meta, Stripe, Supabase, Cloudflare and Anthropic), each with its own terms of use.
7. User Content and Responsibility
You retain ownership of the content and data you upload or transmit through the platform. You grant us a limited license to process that content for the sole purpose of providing the service. You are solely responsible for the content of the messages exchanged with your customers and for the legality of the communications you carry out.
Responses generated by artificial intelligence are assistive in nature and may contain errors; you are responsible for supervising and validating the communications sent to your customers.
8. Intellectual Property
The platform, its software, brand, logos, design and other elements are the property of Instachat EAS or its licensors and are protected by intellectual property laws. These Terms grant you no rights over that property, except the limited, non-exclusive and non-transferable license to use the service while your account is active.
9. Privacy
The processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using the service, you also accept that policy.
10. Availability and Support
We make reasonable efforts to keep the service continuously available, but we do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance, updates or temporary suspensions. We provide support through the official channels listed on our site.
11. Limitation of Liability
To the maximum extent permitted by law, Instachat EAS shall not be liable for indirect or incidental damages, loss of profits, loss of data or business interruption arising from the use of or inability to use the service. The service is provided “as is” and “as available”. Our total liability, where applicable, shall be limited to the amount actually paid by you in the three (3) months prior to the event giving rise to the claim.
12. Cancellation and Termination
You may cancel your subscription at any time from the app or by writing to us at contact@insta-chat.com. We may suspend or cancel your account if you breach these Terms or if your use compromises the security or operation of the platform. When the relationship ends, your access to the service will cease; the processing of your data after termination is governed by our Privacy Policy.
13. Changes to the Terms
We may update these Terms from time to time. Any significant change will be notified through the app or by email. The updated version will be published on this page with its corresponding date. Continued use of the service after the changes take effect implies acceptance of the new Terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Paraguay. Any dispute arising from them shall be submitted to the jurisdiction of the competent courts of Ciudad del Este, Paraguay, unless mandatory law provides otherwise.
